End User License Agreement

Definitions

The following terms apply throughout this Agreement:

• Agreement — this End User License Agreement, which constitutes the complete understanding between You and the Company regarding use of the Application.
• Application — the Railcut software program provided by the Company and installed by You on a Device.
• Company — Jake In Motion LLC, Denver, CO (referred to as “we,” “us,” or “our”).
• Device — any computer or compatible machine on which the Application may be installed and operated.
• You — the individual or legal entity that has purchased, downloaded, or is using the Application.

Acknowledgment

By downloading, installing, or using Railcut, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Application.

This Agreement is a legal document governing your use of the Application. The Application is licensed to you — not sold — solely in accordance with the terms set forth here.

License

Grant

Jake In Motion LLC grants you a limited, revocable, non-exclusive, non-transferable license to install and use the Application on Devices you own or control, strictly in accordance with this Agreement.

Restrictions

You may not, and may not permit others to:

• License, sell, rent, lease, assign, distribute, sublicense, or otherwise make the Application available to any third party for commercial purposes.
• Remove, alter, or obscure any copyright, trademark, or other proprietary notice contained in or on the Application.
• Reverse engineer, decompile, or disassemble the Application, except to the extent required by applicable law.

Intellectual Property

The Application — including all associated copyrights, trademarks, trade secrets, and other intellectual property — remains the sole and exclusive property of Jake In Motion LLC. Nothing in this Agreement transfers any ownership rights to you.

Third-Party Software

The Application includes FFmpeg, an open source multimedia framework distributed under the GNU General Public License v2.0. FFmpeg is not owned by Jake In Motion LLC and is not part of the Application itself — it is included as a convenience for users. The restrictions in this Agreement do not apply to FFmpeg. Source code for the FFmpeg build included with Railcut is available at ffmpeg.org. The build configuration used by Railcut is documented at Open Source and available upon request at support@jakeinmotion.com.

Feedback

Any suggestions, ideas, or feedback you provide regarding the Application may be used by Jake In Motion LLC freely and without obligation — including to improve, modify, or redistribute the Application — without credit or compensation to you.

Modifications

Jake In Motion LLC reserves the right to modify, suspend, or discontinue the Application or any feature within it at any time, with or without notice, and without liability to you.

Updates

We may release updates, patches, or improvements to the Application from time to time. Such updates may add, modify, or remove features. You acknowledge that we have no obligation to provide updates or to maintain any particular functionality. Any updates made available are subject to the terms of this Agreement.

Support

Jake In Motion LLC does not guarantee any specific level of technical support for the Application. Any support provided is offered at our sole discretion.

Term and Termination

This Agreement is effective until terminated. Jake In Motion LLC may terminate this Agreement at any time, for any reason, with or without notice. This Agreement terminates automatically if you fail to comply with any of its terms. Upon termination, you must cease using the Application and remove all copies from your Devices.

Termination does not limit any other rights or remedies available to Jake In Motion LLC under applicable law.

Indemnification

You agree to indemnify and hold harmless Jake In Motion LLC and its officers, employees, and agents from any claims, losses, or expenses — including reasonable legal fees — arising from: (a) your use of the Application; (b) your violation of this Agreement or any applicable law; or (c) your infringement of any third-party rights.

No Warranties

The Application is provided “as is” and “as available,” without warranty of any kind. To the fullest extent permitted by law, Jake In Motion LLC disclaims all warranties — express, implied, or statutory — including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Application will be uninterrupted, error-free, or compatible with all systems or software configurations.

Some jurisdictions do not permit the exclusion of certain warranties, so the above may not apply to you in full.

Limitation of Liability

To the maximum extent permitted by applicable law, Jake In Motion LLC’s total liability for any claim related to the Application is limited to the amount you paid for it. In no event will we be liable for any indirect, incidental, special, or consequential damages — including loss of data, business interruption, or loss of profits — even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow certain limitations of liability, so portions of the above may not apply to you.

Severability and Waiver

If any provision of this Agreement is found to be unenforceable, it will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full effect. Our failure to enforce any right under this Agreement does not constitute a waiver of that right.

U.S. Legal Compliance

You represent that you are not located in a country subject to a U.S. government embargo or designated as a terrorist-supporting country, and that you are not listed on any U.S. government prohibited or restricted parties list.

Changes to This Agreement

We may update this Agreement at any time. If changes are material, we will provide at least 30 days’ notice before they take effect. Continued use of the Application after any update constitutes your acceptance of the revised Agreement.

Governing Law

This Agreement is governed by the laws of the State of Colorado, without regard to its conflict of law provisions. Your use of the Application may also be subject to other applicable local, state, or federal laws.

Entire Agreement

This Agreement constitutes the entire agreement between you and Jake In Motion LLC regarding the Application and supersedes all prior or contemporaneous agreements on the same subject.
